Terms of Service & Client Agreement

Firefinch Studios (“the Studio”) delivers end-to-end bespoke digital engineering, tailored visual systems, cloud-native website design, high-frequency NVMe SSD edge server hosting, registrar domain procurement, and automated DNS propagation services.

By accessing our platform, initiating a service brief, executing an electronic invoice, or provisioning web properties under our domain routing umbrella, you consent to be contractually bound by these terms. If you act on behalf of a corporate entity, you represent and warrant that you hold full executive authority to bind such entity.

All bespoke development engagements require a pre-agreed statement of work (“SOW”). Standard projects function on a phased billing schedule: 50% initial commitment deposit prior to sprint commencement, and 50% upon final acceptance staging sign-off.

Turn-Around Commitments: Standard showcase web deployments are targeted for production launch within 7 to 14 business days from receipt of all client-supplied assets, branding tokens, and copywriting copy. Client response delays exceeding 5 consecutive business days automatically suspend milestone delivery guarantees.

Annual Recurring Renewals: Hosting, DNS monitoring, and server maintenance subscriptions automatically renew at the expiration of the twelve (12) month term at the standard prevailing renewal rate unless written notice of cancellation is served at least thirty (30) days prior to the billing date.

Upon 100% full settlement of all invoiced milestone amounts, Firefinch Studios unconditionally conveys and assigns all worldwide rights, title, and ownership of the final front-end presentation codebase, custom design artifacts, imagery curated specifically for the engagement, and branded vector materials to the client.

Proprietary Core Retained: Firefinch Studios retains sole rights in foundational runtime boilerplates, internal automated CI/CD deployment routines, infrastructure scripts, server orchestration recipes, and pre-existing generic UI utilities. The client is granted a perpetual, irrevocable, royalty-free license to utilize such components as integrated into their specific website build.

Portfolio Showcase Right: Firefinch Studios reserves the non-exclusive right to display completed project screenshots, motion recordings, and architectural case studies across our marketing portfolio and industry design platforms, honoring mutual non-disclosure and trade secret restrictions.

Firefinch Studios edge hosting operates across enterprise-grade tier-4 datacenter clusters equipped with dedicated NVMe storage nodes, containerized micro-isolation, and dynamic multi-CDN caching nodes.

Scheduled Maintenance: Core kernel updates and network routing optimizations take place within low-traffic windows (Sundays 02:00 to 05:00 IST) with advance notice delivered via email broadcast at least 48 hours prior to execution.

We mandate industry-standard cryptographic practices. All domains routed via Firefinch Studios are enforced through strict TLS 1.3 protocol standards with HSTS preloading support and automated daily cryptographic certificate health verification.

Prohibited Content & Conduct: Our infrastructure operates under zero-tolerance enforcement against:

• Transmission of unlicensed malware, spyware, command-and-control scripts, or unauthorized phishing landing funnels.
• Unauthorized vulnerability probing, port scanning, or stress-testing against Firefinch IP clusters.
• Hosting defamatory, fraudulent, unaccredited financial schemes, or content in violation of the Information Technology Act, 2000.
• Bulk unsolicited commercial messaging (spam) routed through managed SMTP relays.

Any breach will result in immediate tenant partition, domain suspension, and potential escalation to relevant statutory law enforcement authorities without refund liability.

To the fullest extent permissible by governing law, Firefinch Studios, its partners, engineers, and contractors shall not be liable for any indirect, consequential, exemplary, punitive, or loss-of-profit damages arising out of server downtime, third-party registrar delays, upstream ISP blackouts, or DNS resolver cache desynchronization.

Total Liability Cap: The aggregate monetary liability of Firefinch Studios for any claim asserted under this agreement shall be strictly limited to the actual amount remitted by the client to Firefinch Studios during the three (3) consecutive months immediately preceding the event giving rise to liability.

Termination Protocol: Either party may terminate a project agreement upon 14 days' written notice if the other party fundamentally breaches these terms and fails to cure such breach within the notice window. In the event of early termination initiated by the client, all accrued design hours and unrecoverable domain registration disbursements remain payable in full.

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India. Any unresolved dispute, difference, or claim arising out of or relating to this contract shall be submitted to the exclusive jurisdiction of the competent courts situated in India.
